GeSCI Governance Structure

GeSCI was founded by the UN ICT Taskforce. It is headquartered in Ireland and funded by the Governments of Ireland, Sweden, Switzerland and Finland. GeSCI is registered in Ireland as a company limited by guarantee (company number 389160). GeSCI is also registered in Ireland as a charity (charity number 16137).

Legal structure

GeSCI is a company limited by guarantee which is the normal legal structure for a non-profit organisation in Ireland. The governing documents of the organisation are the Memorandum and Articles of Association. The organisation has a number of Members, who provide a broad representation of the stakeholders in the organisation. The Members appoint the Board of Directors, who are responsible for the governance of the organisation. The Chief Executive Officer reports to the Board of Directors.

Further stakeholder representation

GeSCI's governance structure has two further constituents:

Donor Advisory Group

The Donor Advisory Group enables the representatives of GeSCI's funding partners to provide expertise and input on the organisation's strategy, programmes and operations. The Donor Advisory Group currently comprises representatives from Irish Aid; SIDA, the Swedish International Development Cooperation Agency; SDC, the Swiss Agency for Development and Cooperation; and the Ministry for Foreign Affairs in Finland.

 

Advisory Council

The Advisory Council provides a forum for the Board of Directors to receive advice and assistance from various stakeholders in relation to strategy, policies and objectives. The Advisory Council is comprised of the Members of GeSCI and the Donor Advisory Group.

 

Annual General Meeting

The Board of Directors reports to the Members, the Donors and the Advisory Council at the Annual General Meeting. The AGM is normally run over two days and enables all stakeholders to have a full discussion on the objectives and activities of the organisation. Through the Donor Advisory Group, the AGM also provides an opportunity for the representatives of GeSCI's funding partners to meet together to discuss GeSCI activities and other areas of common interest.
